Adaptive Public License 1.0

Adaptive Public License (APL)은 Victoria 대학에서 제창한 오픈소스 라이선스이다. 프로젝트 초기 공헌자가 라이선스 템플릿에서 특정옵션을 선택하여 자신의 프로젝트에 대한 라이선스 조건을 설정하는 등의 가벼운 수준의 상호주의(copyleft) 라이선스 이다.

라이선스 적용 저작물은 적응성 공중 라이선스(“ 라이선스”) 규정에 의거하여 제공된다. 라이선스 적용 저작물을 사용 복제, 배포하는 모든 행위는 수취인이 라이선스의 조항들을 읽었는지 여부와 관계 없이 수취인이 라이선스와 조건을 승낙했음을 의미한다. “라이선스 적용 저작물 수취인 아래에 정의되어 있다.

주의 사항: 라이선스는 “adaptive”이며, 라이선스가 부여하는 당신의 권리와 의무를 결정하는데 있어 적응성 공중 라이선스의 일반 버전이나 기타 버전에 의존해서는 된다. 라이선스의 일부 규정들은 당초에 최초 기여자에 의해 정의된 만큼, 당신은 라이선스 적용 저작물과 함께 양도받은 적응성 공중 라이선스를 상세히 읽어야 한다.

라이선스에 적용시킬 있는 특정한 적응 가능 특징들을 결정하기 위해서는 아래의 2 2 및 첨부된 Exhibit A, 그리고 본 라이선스에 동봉된 모든 Suppfile.txt 를 참고하라. 예를 들면, 앞서 말한 부분에 대한 제한 없이, (a) 선별된 법률 및 판결을 보려면 Exhibit A Part 3을 참고하라; (b) 3자에 대한 선별된 정의를 위해서는 Exhibit A Part 4를 참고하라; (c) 선별된 특허 라이선스 규정을 보려면 아래의 제2 2항과 Exhibit A Part 6을 참고하라.

1. 정의

 

11. "기여":

(a) 최초 개발자의 경우, 최초 개발자가 라이선스에 의거하여 배포한 최초 저작물을 의미한다. 또한,

(b) 후속 기여자의 경우, 그러한 기여자에 의해 창작되고 배포된 후속 저작물을 의미한다.

12. "지정 웹사이트" Exhibit A Part 1 정의된 URL 지닌 웹사이트로, URL 최초 기여자가 기존의 지정된 웹사이트에 새로운 URL 적어도 60 이상 공지를 하는 조건에 한해 변경될 있다.

13. "배포자" 라이선스 적용 저작물이나 일부를 적어도 이상의 3자에게 배포하는 모든 사람을 의미한다.  

14. "전자 배포 방식" 이란 소프트웨어 개발 커뮤니티에서 일반적으로 수용되는, 데이터의 전자적 전송 방식이다.

15. "실행파일" 이란 소스 코드를 제외한 다른 모든 형태의 라이선스 적용 저작물을 의미한다.  

16. "재판 관할지" Exhibit A Part 3 정의된, (), 지방 또는 기타 사법적 관할권을 의미한다.

17. "독립 모듈" 이란 라이선스 적용 저작물이나 일부로부터 파생되거나 복제된 것이 아닌, 소프트웨어의 개별적 모듈 데이터를 의미한다. 또한, 어떤 모듈이 (a)라이선스 적용 저작물에 탑재되어 있는 경우, 또는 (b)함수 호출이나 클래스 참조를 제외하고 라이선스 적용 저작물에 참조로서 포함되어 있는 경우, 또는 (c) 사실상 라이선스 적용 저작물을 구성하는 파일들을 포함하는 파일 디렉토리나 서브디렉토리 내에, 전체적으로나 부분적으로 포함되어야 하는 경우, 모듈은 독립 모듈로 인정되지 않고, 대신 라이선스 적용 저작물의 일부를 구성한다.

18.최초 기여자" Exhibit A Part 1 에서 요구하는 고지사항에 최초 기여자로 정의되어 있는 개인이나 주체를 의미한다.  

19. "최초 저작물" 이란 Exhibit A Part 2 정의된 컴퓨터 프로그램의 최초의 소스 코드, 오브젝트 코드 문서를 의미한다. 그러한 소스 코드, 오브젝트 코드 문서는 라이선스에 의거하여 최초 기여자에 의해 배포된다.

110. "조합 저작물" 이란 라이선스 적용 저작물이나 일부를 라이선스의 적용을 받지 않는 다른 코드와 결합하는 저작물을 의미한다.

111. "라이선스 적용 저작물" 이란 최초 저작물이나 일부 후속 저작물이나 일부를 의미한다.

112. "라이선스 고지" Exhibit A Part 5 지정된 의미를 지닌다.

113. "수정" 이란 라이선스 적용 저작물에 대한 모든 수정사항이나 추가사항을 의미한다.

114. "사람"이란 개인이나 법인을 의미하며, 여기에는 주식회사, 제휴관계 기타 집단이 모두 포함된다.

115. "수취인" 이란 라이선스에 의거하여 라이선스 적용 저작물을 양도받거나 획득하는 모든 사람을 의미한다. (예를 들면, 조건을 충족시키는 후속 기여자나 배포자가 이에 해당한다.)

116. "소스 코드" 컴퓨터 프로그램을 위한 소스 코드를 의미한다. 여기에는 컴퓨터 프로그램의 모든 모듈과 구성요소에 대한 소스 코드, 그리고 관련된 인터페이스 정의 파일 실행파일의 컴파일과 설치를 통제하는데 사용되는 스크립트가 포함된다..

117. "후속 기여자" 후속 저작물을 작성하거나 작성에 기여하는 모든 사람, 그리고 후속 저작물을 적어도 이상의 3자에게 배포하는 사람을 의미한다.

118. "후속 저작물" 이란,

(a) 최초 저작물,

(b) 후속 저작물, 또는

(c) 최초 저작물과 후속 저작물을 결합한 모든 형태의 결합 저작물

대해 변경이나 추가를 가한 결과로서 발생한 저작물을 의미한다.

여기에서 그러한 변경 사항이나 추가사항은 후속 기여자로부터 발생한다. 후속 저작물이 그러한 후속 기여자(혹은 후속 기여자를 대리하는 대리인, 예를 들면 후속 기여자와 계약을 맺은 계약자나 그의 지시를 받는 기타 주체) 노력의 결과인 경우, 후속 저작물은 후속 기여자로부터 발생 것이다. 후속 저작물이 그러한 후속 기여자의 노력의 결과인 경우,  (혹은 후속 기여자를 대리하는 대리인, 예를 들면 후속 기여자와 계약을 맺은 계약자나 그의 지시를 받는 기타 주체가 이에 해당한다.)  보다 확실하게 하기 위해, 후속 저작물은 어떠한 독립 모듈도 명시적으로 배제하며 의미상으로도 포함시켜서는 된다.

119. "보충 파일" 이란 라이선스 적용 저작물과 함께 배포되는, 파일명이 “suppfile.txt” 파일을 의미한다.

120. 3 Exhibit A Part 4 지정된 의미를 지닌다.

2. 라이선스

 

21. 최초 후속 기여자가 부여하는 저작권 라이선스

(a) 라이선스의 규정에 구속되어, 최초 기여자는 수취인에게 전세계적으로 무료로 사용할 있는 비독점 저작권 라이선스를 부여한다. 저작권 라이선스는,

(i) 최초 저작물에 대한 복제, 파생저작물의 작성, 전시, 공연, 배포 서브라이선스 설정, 그리고

(ii) 수취인에 의해 작성된 파생 저작물에 대한 복제, 전시, 공연, 배포 서브라이선스 설정을

소스 코드와 실행 파일의 형태로, 원본 그대로 또는 다른 수정본과 함께, 또는 조합 저작물의 일부로서 허용하는 라이선스다. 

(b) 라이선스의 규정에 귀속되어, 각각의 후속 기여자는 수취인에게 전세계적으로 무료로 사용할 있는 비독점 저작권 라이선스를 부여한다. 저작권 라이선스는,

(i) 그러한 후속 기여자의 후속 저작물에 대한 복제, 파생저작물의 작성, 공개적 전시, 공연, 배포 서브라이선스 설정, 그리고

(ii) 수취인에 의해 작성된 파생 저작물에 대한 복제, 전시, 공연, 배포 서브라이선스 설정을

소스 코드와 실행 파일의 형태로, 원본 그대로 또는 다른 수정본과 함께, 또는 조합 저작물의 일부로서 허용하는 라이선스다.

22. 최초 후속 기여자가 부여하는 특허 라이선스

(a) 최초 저작물이 최초로 배포되거나 라이선스에 의해 최초로 제공된 시점에 최초 기여자가 Exhibit A Part 6 의거하여, Exhibit A Part 6 있는 A, B, C, D, E 절의 특허 조건을 선택한 경우가 아니라면, 라이선스는 최초 기여자와 후속 기여자, 혹은 기타 배포자로부터 어떠한 종류의 특허 라이선스도 포함하거나 부여하지 않는다. 이것이 행해지지 않은 경우, 최초 저작물과 모든 후속 저작물은 어떠한 특허 라이선스도 없이 라이선스에 따라 제공된다(“특허 배제 라이선스”).

(b) 그러나, 최초 기여자는 후속적으로, (1) 최초 저작물, 또는 (2) 최초 저작물을 포함하여, 최초 기여자에 의해 배포된 모든 라이선스 적용 저작물이나 일부, 그리고 최초 기여자에 의해 만들어진 수정본의 미래 복제본을 배포하거나 제공할 있으며, 이는 최초 기여자가 그러한 미래의 복제본을 라이선스에 의거하여 배포하거나 제공할 , Exhibit A Part 6 의거하여 Exhibit A Part 6 있는 A, B, C, D, E 절의 특허 규정을 선택함으로써 특허 라이선스를 포함하는 라이선스(“특허 포함 라이선스”) 의거하여 이용이 가능하다.

(c) 만약 어떤 수취인이 특허 포함 라이선스에 의거하여, 최초 저작물에 대한 이상의 복제본 또는 라이선스 적용 저작물의 기타 다른 부분을 양도받는다면, 라이선스에 따라 이러한 복제본들에 대한 라이선스를 설정할 때는 항상 Exhibit A Part 6 있는 A, B, C, D, E절의 조건들을 포함해야 한다. 또한 수취인은 그러한 복제본에 대해 특허 배제 라이선스에 의존할 없다. 그러나 특허 배제 라이선스를 포함한 라이선스 복제본에 의거하여, 최초 저작물에 대한 하나 이상의 복제본, 또는 라이선스 적용 저작물의 기타 다른 부분을 양도받은 모든 수취인은 특허 배제 라이선스에 따라 양도받은 그러한 복제본에 대해서는 특허 라이선스를 지닐 없다, 또한 그러한 복제본 ( 복제본에 대해 수취인이 만든 수정본) 제공 배포는 특허 라이선스 없이, 라이선스의 복제본에 따라 이루어져야 한다.

(d) 수취인이 특허 배제 라이선스를 지닌 라이선스의 복제본에 의거하여 라이선스가 설정된 라이선스 적용 저작물(혹은 일부) 특허 포함 라이선스를 지닌 라이선스의 복제본에 의거하여 라이선스가 설정된 라이선스 저작물(혹은 일부) 결합하거나 결합된 형태로 사용하는 경우, 결합물( 일부) 수취인이 결합물을 최초로 사용, 제공, 혹은 배포하는 시점부터, Exhibit A Part 6 A, B, C, D, E 절의 규정을 포함하는, 특허 포함 라이선스를 지닌 라이선스의 규정에 의해서만 구속을 받아야 한다. 

23. 승인 부인

수취인은, 최초 기여자와 후속 기여자가 여기에 설명된 바에 따라 기여물에 대해 라이선스를 부여한다고 하더라도, 라이선스 적용 저작물이 다른 주체가 소유한 특허권이나 기타 지식재산권을 침해하지 않는다는 내용의 보증이나 보장 혹은 확인도 최초 기여자나 후속 기여자, 혹은 배포자에 의해 제공되지 않는다는 사실을 이해하고 이에 동의한다. 최초 기여자와 후속 기여자 배포자는 수취인에 대해, 라이선스 적용 저작물과 관련하여 지식재산권 침해 등에 기반하여 다른 어떠한 주체에 의해 야기된 청구에 대한 어떠한 책임도 부인한다. 여기에서 부여하는 권리와 라이선스를 행사하는 조건으로, 각각의 수취인은 필요한 경우 다른 지식재산권을 확보할 의무를 단독으로 진다. 예를 들면, 앞서 말한 부인 사항을 제한하지 않는 범위 내에서, 수취인이 라이선스 적용 저작물을 배포하는데 3자의 특허 라이선스가 요구되는 경우, 라이선스 적용 저작물을 배포하기 전에 해당 라이선스를 획득하는 것은 수취인의 책임이다

24. 유보

라이선스에 있는 어떠한 내용도 명시적으로 제시된 것을 제외하고는 최초 기여자나 후속 기여자, 혹은 배포자의 상표나 저작권, 특허, 업무상의 비밀 혹은 기타 지식재산권 대한 권리를 부여하는 것으로 간주되어서는 된다.

3. 배포 의무

 

31. 일반적 배포

(a) 후속 기여자는 자신의 후속 저작물을 전자 배포 방식을 통해 공중에게 적어도 12개월 이상의 기간 동안 제공해야 한다. 12개월 기간의 시작 지점은 후속 저작물의 최초 작성 적절한 시간 이내로, 후속 기여자의 후속 저작물을 최초로 배포한 날로부터 60일이 경과하기 이전으로 해야 한다.

(b) 모든 배포자는 라이선스 적용 저작물을 라이선스의 규정에 의거하여 배포해야 하고, 라이선스의 사본 1부를 (Exhibit A 동봉된 보충 파일을 제한 없이 포함하여) 배포되는 라이선스 적용 저작물의 복제본과 함께 제공해야 한다. 특히, 라이선스는 눈에 있도록 “license.txt”라는 이름의 파일 내에 라이선스 적용 저작물과 함께 배포되어야 한다. 또한, Exhibit A Part 5 있는 라이선스 주의사항은 모든 소스 코드 파일의 시작 부분에 포함되어야 하며, 사용자가 어떤 실행파일로도 있도록 함으로써 라이선스 적용 저작물을 사용하는 모든 이의 주목을 적절하게 있도록 해야 한다.

32. 라이선스 적용 저작물에 대한 실행 파일 형태의 배포

배포자는 라이선스의 2조의 규정에 의거하여 3자에게 라이선스 적용 저작물이나 일부를 실행 파일의 형태로 배포할 있다(“실행 파일 형태의 배포”). , 이는 실행파일 형태의 배포가 라이선스에 의거하여 이루어지고, 배포 시에 라이선스의 사본이 동봉되며, 또한 다음의 조건 적어도 이상이 충족된다는 조건 하에서만 가능하다.

(a) 실행파일 형태의 배포에는 그것을 구성하는 라이선스 적용 저작물에 대한 소스 코드가 동봉되어야 하며, 소스 코드는 실행파일 형태의 배포와 동일한 매체, 혹은 전자적 배포 방식을 통해 배포되어야 한다. 또는,

(b) 실행파일 형태의 배포에는 소스 배포를 물리적으로 수행하는데 소요되는 비용만을 받고 라이선스의 규정에 따라 실행파일 형태의 배포를 구성하는 라이선스 적용 저작물에 대한, 컴퓨터로 인식할 있는 완전한 소스 코드의 복제본을 전자적 배포 방식을 사용하여 제공 배포될 있도록 3자에게 제공한다는, 적어도 36개월 이상 유효한 서면 약정서가 동봉되어야 한다. 또한 그러한 실행파일 형태의 배포는 3 누구나 전자적 배포 방식(또는 해당 배포자가 필요에 의해 합리적으로 대체할 만한 전자 배포 방식) 통해 소스 코드 형식으로 이용할 있도록 적어도 36개월 이상 유지되어야 한다.

보다 확실하게 하기 위해, 위에서 언급한 요구사항들은 3자에게 실행파일 형태로 배포된 모든 라이선스 적용 저작물 일부에 적용된다. 이는 그러한 배포가 단독으로 이루어진 경우나 복합저작물이나 독립 모듈들과 결합된 형태, 혹은 외의 결합형태로 이루어진 경우나 모두 마찬가지로 적용된다.

33. 소스 코드의 배포

배포자가 라이선스 적용 저작물이나 일부를 누구나 사용할 있도록 소스 코드로 제공하는 경우, 이는 라이선스에 의거하여 이루어져야 하고, 소스 코드의 사본에는 라이선스의 사본이 첨부되어야 한다. 이때 라이선스의 사본은 받는 사람이 있도록 눈에 띄는 위치에 동봉되어야 한다. 보다 명확하게 하기 위해, 3 3항은 소스 코드 형태로 제공되는 라이선스 적용 저작물을 배포하는 모든 경우에 적용된다. 배포자는 복제본을 물리적으로 전달하는데 소요되는 비용을 요금으로 부과할 있으며, 액수는 소스 배포에 물리적으로 소요되는 비용을 넘어서는 된다.

3 4. 소스 코드의 고지사항

각각의 후속 기여자는 Exhibit A Part 5 제시된 고지사항을 해당 후속 기여자로부터 발생한 후속 저작물에 대한 소스코드의 파일에 포함시켜야 한다. 이는 그러한 고지사항이 이미 각각의 파일에 포함되어 있지 않은 경우에 한한다. 어떤 특정한 소스 코드 파일의 구조적 특성 때문에 그러한 고지사항을 포함시키는 것이 불가능하다면, 해당 후속 기여자는 사용자가 그러한 고지사항을 찾아볼 만한 위치(파일이 저장되어 있는 관련 디렉토리 ) 해당 고지사항을 포함시켜야 한다.

35. 내부적으로 사용되는 수정본에는 배포의 의무가 없음

 32항과 3 3, 3 4항과 관계없이, 수취인은 자신의 회사나 기관에서 내부적으로, 최초 저작물과 후속 저작물을 포함하여 라이선스 적용 저작물을 사용할 있다. 또한 수취인 자신의 회사나 기관에서 내부적으로 사용하기 위한 수정본을 작성할 있다(이들을 내부사용 수정본이라고 칭함). 수취인은 아래에서 요구하는 경우를 제외하고는 내부 사용을 위해 작성한 수정본을 소스 코드나 실행파일의 형태로 배포할 의무가 없다. 3자건 아니건 어떤 누군가에게 배포된 모든 내부사용 수정본은 라이선스의 사본을 동봉해야 하고, 규정에 따라 배포되어야 한다. 수취인이 그러한 내부 사용 수정본을 어떤 3자에게 배포하기로 선택하는 경우 수취인은 후속 기여자로 간주되어야 하며, 3자에게 배포된 내부 사용 수정본은 해당 후속 기여자로부터 발생한 후속 저작물로 간주되어야 한다. 또한 내부 사용 수정본은 배포된 최초의 순간부터, 3조의 1항에서 4항까지의 규정들에 따라 3자에게 제공되고 배포되어야 하는 라이선스 적용 저작물의 일부가 된다.

3 6. 독립 모듈

라이선스는 최초 기여자나 후속 기여자, 배포자 혹은 수취인의 독립 모듈에는 적용되지 않으며, 그러한 독립 모듈들은 이상의 개별적인 라이선스 계약서들에 따라서 제공하거나 라이선스를 설정할 있다.

37. 조합 저작물

어떤 배포자나 수취인이라도 라이선스 적용 저작물과 라이선스의 규정에 의해 구속되지 않는 다른 코드를 함께 결합함으로써 조합 저작물을 작성하거나 작성에 기여할 있으며, 그러한 조합 저작물을 이상의 제품으로 배포할 있다. 그러나 이러한 경우 배포자나 수취인은 (해당 경우에 따라) 조합 저작물 내의 라이선스 적용 저작물 부분에 대하여 라이선스의 요구사항들이 충족될 있도록 보장해야 한다.

38. 배포된 수정본의 설명

(a) 각각의 후속 기여자는 (최초 기여자가 후속 기여자의 자격요건을 갖춘 경우에는 최초 기여자도 포함하여) 후속 기여자에 의해 작성되거나 기여된 각각의 후속 저작물 내에, 후속 기여자가 후속 저작물을 작성하거나 기여하는 과정에서 발생한 변경사항들을 기록하는 파일이, 보충 파일의 Part 1 요구사항에 따르는 방식으로, 포함되도록 해야 한다. 보충 파일이 존재하지 않거나 보충 파일의 Part 1 어떠한 요구사항도 제시되어 있지 않는 경우에는 후속 기여자가 후속 저작물을 만들면서 발생한 변경사항들을 기록할 의무가 없다.

(b) 최초 기여자는 언제라도 후속 저작물의 발생을 야기하는 변경사항들을 기록하라는 새로운 요구 사항을 도입하거나 기존의 요구사항(각각의 경우, “기존의 설명 요구사항”) 대해 변경이나 추가를 있다. 이는 라이선스 적용 저작물의 미래 복제본에 대하여, 최초 기여자에 의해 배포된 보충 파일의 복제본의 Part 1 그러한 변경사항의 기록에 대한 요구사항(“새로운 설명 요구사항 포함하도록 개정함으로써 가능하다.

(c) 언제든지 라이선스의 복제본에 의거하여 기존의 설명 요구사항을 지닌 어떤 최초 저작물이나 후속 저작물의 복제본(각각의 경우, “기존 라이선스 적용 복제본”) 양도받는 모든 수취인은, 그러한 각각의 기존 라이선스 적용 복제본에 대하여 기존의 설명 필수사항이나 새로운 설명 요구사항 중에서 선택하여 사용할 있다. 수취인이 새로운 설명 요구사항을 따르기로 선택한 경우, 해당 수취인은 이후에 그러한 기존 라이선스 적용 복제본을 배포할 때는 서플먼프 파일을 포함시키고, 안에 Part 1 이라는 제목으로 새로운 설명 요구사항의 사본을 넣어야 한다.

(d) 보다 확실하게 하기 위해, 보충 파일의 Part 1 의도는 라이선스 적용 저작물에 변경을 가해서 후속 저작물을 생성하게끔 야기한 후속 기여자가 자신이 만든 변경사항을 기록하도록 하는 방식을 제공하고자 하는 것이다. 어떠한 보충 파일의 Part 1 라이선스의 2조에 부여된 라이선스의 범위를 확대하거나 축소하는데 사용되어서는 안되며, 다른 어떤 방식으로도 어떤 수취인의 권한이나 의무를 확대하거나 축소해서는 된다. 또한, 어떤 경우에도 라이선스의 종료를 위한 근거로 사용되어서도 된다. 뿐만 아니라, 어떤 수취인에 대해 보충 파일의 Part 1 준수하기 위한 목적으로 문서화 과정을 교정하거나 변경하라는 요구를 수는 있지만, 손해 배상을 부과할 수는 없다. 모든 보충 파일의 Part 1 어떤 라이선스 적용 저작물의 수취인에 대하여, Part 1 최초 저작물이나 어떤 후속 저작물에 대한 변경사항을 기록하라는 요구사항을 제시하는 정도로까지만 구속력이 있다.

3 9. 배포자 이름의 사용

310. 최초 기여자에 대한 제한적 공로 인정

4. 상업적 사용 면책

 

41. 상업적 서비스

51. 신규 버전

최초 기여자는 때때로 라이선스의 개정된 버전이나 신규 버전을 공표할 있다. 각각의 버전은 버전 넘버를 통해 구별된다.

52. 신규 버전의 효력

최초 기여자가 라이선스 적용 저작물이나 일부를 라이선스의 특정 버전에 따라 공표했다면, 수취인은 이를 사용함에 있어 계속해서 해당 버전의 규정에 따를 것을 선택할 있다. 그러나, 수취인이 라이선스 적용 저작물을 사용함에 있어 최초 기여자에 의해 공표된 라이선스의 후속 버전의 규정을 따르기로 결정하는 경우, 이러한 선택을 결정한 해당 날로부터 수취인은 라이선스 적용 저작물과 관련한 모든 복제, 파생 저작물의 준비, 전시, 공연, 배포 서브라이선스 설정에 대하여, 해당 후속 버전의 규정을 준수해야 한다. 최초 기여자 외에는 누구에게도 라이선스 적용 저작물에 적용할 있는 규정들을 수정할 권한이 주어지지 않는다.

6. 보증의 부인

61. 일반적 부인

본 라이선스에 명시적으로 제시된 경우를 제외하고 라이선스 적용 저작물은 소유권, 비침해, 상품성, 특정 목적 적합성에 대한 보증이나 조건을 제한 없이 포함하여, 어떠한 형태의 진술이나 보증, 보장, 확인 또는 조건도 명시적으로나 묵시적으로 제공하지 않는있는 그대로의 상태로 제공된다. 라이선스 적용 저작물의 품질과 작동과 관련한 모든 위험은 전적으로 수취인에게 있다. 어떤 라이선스 적용 저작물에 결함이 있는 부분이 발견되는 경우, 이에 필요한 서비스나 수선, 혹은 교정과 관련한 비용은 (최초 기여자나 다른 후속 기여자가 아닌) 수취인이 부담한다. 이 조항은 본 라이선스의 중요한 부분을 구성한다. 이 보증 부인 조항을 제한 없이 포함하는 본 라이선스에 의거하지 않는 한, 어떠한 라이선스 적용 저작물도 사용이 허용되지 않는다.

62. 수취인의 책임

각각의 수취인은 라이선스 적용 저작물의 사용과 배포에 대한 적합성을 결정하는 전적인 책임을 지니며, 본 계약서가 부여하는 권한들의 행사와 관련된 모든 위험을 부담한다. 여기에는 프로그램 오류 및 적용 법률의 준수, 데이터나 프로그램 혹은 장비의 손상 및 손실, 운영 불능 및 중지로 인한 위험 및 비용이 포함되나 이에만 국한되는 것은 아니다.

7. 종료

71. 라이선스는 여기에 명시된 조건들에 따라 종료되기 전까지 지속된다.

72. 수취인은 언제든지 선택적으로 라이선스를 자동적으로 종료시킬 있다.

73. 라이선스는, 특정 수취인에게 부여하는 권한들을 제한 없이 포함하여, 해당 수취인이 라이선스의 규정을 실질적으로 위반하고 그러한 위반 사항을 인지한지 60 이내에 시정하지 않는 경우 자동적으로 종료된다. 앞의 내용을 제한하지 않는 범위 내에서, 그러한 수취인이 라이선스 적용 저작물에 대한 권한을 부여 받은 다른 어떤 라이선스의 조건을 실질적으로 위반한 경우, 이는 라이선스의 실질적 위반에 해당된다.

8. 면책 조항

손해 가능성을 사전에 알고 있었다 하더라도, 어떤 경우에도 최초 기여자, 그의 자회사나 관계 회사, 혹은 임원, 이사, 고용인 대리인(경우에 따라) 라이선스, 또는 라이선스 적용 저작물의 사용 배포, 또는 라이선스가 부여하는 권한의 집행이 원인이 되거나 관련이 되어 발생한 직접적이거나 간접적 손해, 징벌적 손해, 우발적 손해, 일반적이거나 특수한 손해, 결과적 손해 기타 어떠한 형태의 손해(데이터나 이익, 효용의 손실을 비롯하여 라이선스 적용 저작물이나 일부의 사용, 사용 불가, 무허가 사용, 작동, 비작동으로 인해 발생한 손실, 지원 서비스의 제공 비제공으로 인한 손실, 오류나 결함, 누락, 작동이나 전송의 지체 작동 불능으로 인한 기타 손실 등을 제한 없이 포함) 대해, 손해의 발생 원인이나 특정 책임론, 계약, 무과실 책임, 불법 행위(과실 등을 포함) 관계 없이 어떠한 책임도 지지 않는다. 이 면책 조항은 관련 법규의 제한을 받는 한도 내에서, 당사자의 과실에 의해 발생한 사망이나 개인적 상해에는 적용되지 않는다. 조항은 라이선스에서 중요한 부분을 구성한다. 81항에 제시된 면책 부분을 제한 없이 포함하는 본 라이선스에 의거하지 않는 한, 어떠한 라이선스 적용 저작물도 사용이 허용되지 않는다.

9. 준거법과 법적 조치

 

91. 라이선스는 법률 저촉 조항과 관계없이 Exhibit A Part 3 지정된 재판관할지의 법률에 의거하여 통제되고 해석되어야 한다. 어떤 당사자도 라이선스에 따라 발생한지 1년이 지난 행위에 대하여 법적인 조처를 취할 없다. 각각의 당사자는 라이선스에 의거하여 발생하는 소송에 대하여 본인의 배심 재판권을 포기한다. 만약 Exhibit A Part 3 재판관할지가 지정되어 있지 않다면, 재판관할지는 뉴욕주가 된다.

92. 재판관할지의 법정은 라이선스의 적법성, 타당성, 존속 집행가능성을 제한 없이 포함하여, 라이선스와 관련하여 발생하는 모든 논쟁과 청구를, 이행청구, 금지청구, 손해배상 등에 관계없이 받아들이고 결정할 있는 재판권을 지닌다. 재판권은 독점적이지 않으며 법률이나 형평법 모두에 적용된다. 라이선스의 당사자는 그러한 목적을 위한 재판 관할지의 법정의 판결을 승인 수용하며, 이는 취소될 없다.

93. 라이선스의 다른 부분에 명시되어 있는 경우를 제외하고, 어떤 당사자가 라이선스에 의거하여 다른 당사자를 상대로 어떤 법적 조처나 소송 절차를 진행할 경우, 승소 당사자는 변호사 비용을 포함한 모든 비용 경비를 법정이 합당하다고 판결하는 정도의 금액으로 회수할 있는 자격을 얻는다

10. 기타 사항

 

101. 라이선스에 의해 부과되는 의무는 최초 기여자 모든 수취인의 이익을 위한 것이며, 수취인은 최초 기여자 다른 수취인이 라이선스의 규정과 조건들을 수취인을 상대로 집행할 있음을 인정하고 이에 동의한다.

102. 라이선스는 문서의 내용에 대한 완전한 동의를 선언하며, 문서의 내용과 관련하여 과거에 당사자 사이에서 이루어진 모든 구두 서면 상의 의사교환, 합의 협약을 대체한다.

103. 국제물품매매에 대한 UN 협약의 적용은 명시적으로 배제된다.

104. 라이선스의 모든 부분에 사용되는 언어는 어떤 경우에도 본래의 의미로만 해석되어야 하며, 당사자 누구에게도 전적으로 유리하거나 불리하게 해석되어서는 된다. 계약서의 언어가 작성자에게 불리하게 해석되어야 한다고 규정하는 모든 법이나 규제는 본 라이선스에 적용되지 않는다.

105. 만약 라이선스의 어떤 조항이 재판 관할지의 법률 하에서 타당하지 않거나 집행이 불가능하다고 하더라도, 그것이 라이선스의 나머지 조항들의 타당성이나 집행 가능성에 영향을 주지는 않는다. 또한 당사자들이 이에 대해 어떤 조처를 취하지 않는 , 조항들은 필요한 최소한의 수정을 거쳐 타당하고 집행 가능하도록 개정된다.

1. DEFINITIONS.

1.1. "CONTRIBUTION" means:

(a) In the case of the Initial Contributor, the Initial Work distributed under this License by the Initial Contributor; and

(b) In the case of each Subsequent Contributor, the Subsequent Work originating from and distributed by such Subsequent Contributor.

1.2. "DESIGNATED WEB SITE" means the web site having the URL identified in Part 1 of Exhibit A, which URL may be changed by the Initial Contributor by posting on the current Designated Web Site the new URL for at least sixty (60) days.

1.3. "DISTRIBUTOR" means any Person that distributes the Licensed Work or any portion thereof to at least one Third Party.

1.4. "ELECTRONIC DISTRIBUTION MECHANISM" means any mechanism generally accepted in the software development community for the electronic transfer of data.

1.5. "EXECUTABLE" means the Licensed Work in any form other than Source Code.

1.6. "GOVERNING JURISDICTION" means the state, province or other legal jurisdiction identified in Part 3 of Exhibit A.

1.7. "INDEPENDENT MODULE" means a separate module of software and/or data that is not a derivative work of or copied from the Licensed Work or any portion thereof. In addition, a module does not qualify as an Independent Module but instead forms part of the Licensed Work if the module: (a) is embedded in the Licensed Work; (b) is included by reference in the Licensed Work other than by a function call or a class reference; or (c) must be included or contained, in whole or in part, within a file directory or subdirectory actually containing files making up the Licensed Work.

1.8. "INITIAL CONTRIBUTOR" means the Person or entity identified as the Initial Contributor in the notice required by Part 1 of Exhibit A.

1.9. "INITIAL WORK" means the initial Source Code, object code (if any) and documentation for the computer program identified in Part 2 of Exhibit A, as such Source Code, object code and documentation is distributed under this License by the Initial Contributor.

1.10. "LARGER WORK" means a work that combines the Licensed Work or portions thereof with code not governed by this License.

1.11. "LICENSED WORK" means the Initial Work and/or any Subsequent Work, in each case including portions thereof.

1.12. "LICENSE NOTICE" has the meaning assigned in Part 5 of Exhibit A.

1.13. "MODIFICATION" or "MODIFICATIONS" means any change to and/or addition to the Licensed Work.

1.14. "PERSON" means an individual or other legal entity, including a corporation, partnership or other body.

1.15. "RECIPIENT" means any Person who receives or obtains the Licensed Work under this License (by way of example, without limiting the foregoing, any Subsequent Contributor or Distributor).

1.16. "SOURCE CODE" means the source code for a computer program, including the source code for all modules and components of the computer program, plus any associated interface definition files, and scripts used to control compilation and installation of an executable.

1.17. "SUBSEQUENT CONTRIBUTOR" means any Person that makes or contributes to the making of any Subsequent Work and that distributes that Subsequent Work to at least one Third Party.

1.18. "SUBSEQUENT WORK" means a work that has resulted or arises from changes to and/or additions to:

(a) the Initial Work;

(b) any other Subsequent Work; or

(c) to any combination of the Initial Work and any such other Subsequent Work;

where such changes and/or additions originate from a Subsequent Contributor. A Subsequent Work will "originate" from a Subsequent Contributor if the Subsequent Work was a result of efforts by such Subsequent Contributor (or anyone acting on such Subsequent Contributor's behalf, such as, a contractor or other entity that is engaged by or under the direction of the Subsequent Contributor). For greater certainty, a Subsequent Work expressly excludes and shall not capture within its meaning any Independent Module.

1.19. "SUPPLEMENT FILE" means a file distributed with the Licensed Work having a file name "suppfile.txt".

1.20. "THIRD PARTY" has the meaning assigned in Part 4 of Exhibit A.

2. LICENSE.

2.1. COPYRIGHT LICENSE FROM INITIAL AND SUBSEQUENT CONTRIBUTORS.

(a) Subject to the terms of this License, the Initial Contributor hereby grants each Recipient a world-wide, royalty-free, non-exclusive copyright license to:

(i) reproduce, prepare derivative works of, publicly display, publicly perform, distribute and sublicense the Initial Work; and

(ii) reproduce, publicly display, publicly perform, distribute, and sublicense any derivative works (if any) prepared by Recipient;

in Source Code and Executable form, either with other Modifications, on an unmodified basis, or as part of a Larger Work.

(b) Subject to the terms of this License, each Subsequent Contributor hereby grants each Recipient a world-wide, royalty-free, non-exclusive copyright license to:

(i) reproduce, prepare derivative works of, publicly display, publicly perform, distribute and sublicense the Subsequent Work of such Subsequent Contributor; and

2.2. PATENT LICENSE FROM INITIAL AND SUBSEQUENT CONTRIBUTORS.

(a) This License does not include or grant any patent license whatsoever from the Initial Contributor, Subsequent Contributor, or any Distributor unless, at the time the Initial Work is first distributed or made available under this License (as the case may be), the Initial Contributor has selected pursuant to Part 6 of Exhibit A the patent terms in paragraphs A, B, C, D and E from Part 6 of Exhibit A. If this is not done then the Initial Work and any other Subsequent Work is made available under the License without any patent license (the "PATENTS-EXCLUDED LICENSE").

(b) However, the Initial Contributor may subsequently distribute or make available (as the case may be) future copies of: (1) the Initial Work; or (2) any Licensed Work distributed by the Initial Contributor which includes the Initial Work (or any portion thereof) and/or any Modification made by the Initial Contributor; available under a License which includes a patent license (the "PATENTS-INCLUDED LICENSE") by selecting pursuant to Part 6 of Exhibit A the patent terms in paragraphs A, B, C, D and E from Part 6 of Exhibit A, when the Initial Contributor distributes or makes available (as the case may be) such future copies under this License.

2.3. ACKNOWLEDGEMENT AND DISCLAIMER.

Recipient understands and agrees that although Initial Contributor and each Subsequent Contributor grants the licenses to its Contributions set forth herein, no representation, warranty, guarantee or assurance is provided by any Initial Contributor, Subsequent Contributor, or Distributor that the Licensed Work does not infringe the patent or other intellectual property rights of any other entity. Initial Contributor, Subsequent Contributor, and each Distributor disclaims any liability to Recipient for claims brought by any other entity based on infringement of intellectual property rights or otherwise, in relation to the Licensed Works. As a condition to exercising the rights and licenses granted hereunder, each Recipient hereby assumes sole responsibility to secure any other intellectual property rights needed, if any. For example, without limiting the foregoing disclaimers, if a third party patent license is required to allow Recipient to distribute the Licensed Work, it is Recipient's responsibility to acquire that license before distributing the Licensed Work.

2.4. RESERVATION.

Nothing in this License shall be deemed to grant any rights to trademarks, copyrights, patents, trade secrets or any other intellectual property of Initial Contributor, Subsequent Contributor, or Distributor except as expressly stated herein.

3. DISTRIBUTION OBLIGATIONS.

3.1. DISTRIBUTION GENERALLY.

(a) A Subsequent Contributor shall make that Subsequent Contributor's Subsequent Work(s) available to the public via an Electronic Distribution Mechanism for a period of at least twelve (12) months. The aforesaid twelve (12) month period shall begin within a reasonable time after the creation of the Subsequent Work and no later than sixty (60) days after first distribution of that Subsequent Contributor's Subsequent Work.

(b) All Distributors must distribute the Licensed Work in accordance with the terms of the License, and must include a copy of this License (including without limitation Exhibit A and the accompanying Supplement File) with each copy of the Licensed Work distributed. In particular, this License must be prominently distributed with the Licensed Work in a file called "license.txt." In addition, the License Notice in Part 5 of Exhibit A must be included at the beginning of all Source Code files, and viewable to a user in any executable such that the License Notice is reasonably brought to the attention of any party using the Licensed Work.

3.2. EXECUTABLE DISTRIBUTIONS OF THE LICENSED WORK.

A Distributor may choose to distribute the Licensed Work, or any portion thereof, in Executable form (an "EXECUTABLE DISTRIBUTION") to any third party, under the terms of Section 2 of this License, provided the Executable Distribution is made available under and accompanied by a copy of this License, AND provided at least ONE of the following conditions is fulfilled:

When a Distributor makes the Licensed Work, or any portion thereof, available to any Person in Source Code form, it must be made available under this License and a copy of this License must be included with each copy of the Source Code, situated so that the copy of the License is conspicuously brought to the attention of that Person. For greater clarification, this Section 3.3 applies to all distribution of the Licensed Work in any Source Code form. A Distributor may charge a fee for the physical act of transferring a copy, which charge shall be no more than the cost of physically performing source distribution.

3.4. REQUIRED NOTICES IN SOURCE CODE.

Each Subsequent Contributor must ensure that the notice set out in Part 5 of Exhibit A is included in each file of the Source Code for each Subsequent Work originating from that particular Subsequent Contributor, if such notice is not already included in each such file. If it is not possible to put such notice in a particular Source Code file due to its structure, then the Subsequent Contributor must include such notice in a location (such as a relevant directory in which the file is stored) where a user would be likely to look for such a notice.

3.5. NO DISTRIBUTION REQUIREMENTS FOR INTERNALLY USED MODIFICATIONS.

Notwithstanding Sections 3.2, 3.3 and 3.4, Recipient may, internally within its own corporation or organization use the Licensed Work, including the Initial Work and Subsequent Works, and make Modifications for internal use within Recipient's own corporation or organization (collectively, "INTERNAL USE MODIFICATIONS"). The Recipient shall have no obligation to distribute, in either Source Code or Executable form, any such Internal Use Modifications made by Recipient in the course of such internal use, except where required below in this Section 3.5. All Internal Use Modifications distributed to any Person, whether or not a Third Party, shall be distributed pursuant to and be accompanied by the terms of this License. If the Recipient chooses to distribute any such Internal Use Modifications to any Third Party, then the Recipient shall be deemed a Subsequent Contributor, and any such Internal Use Modifications distributed to any Third Party shall be deemed a Subsequent Work originating from that Subsequent Contributor, and shall from the first such instance become part of the Licensed Work that must thereafter be distributed and made available to third parties in accordance with the terms of Sections 3.1 to 3.4 inclusive.

3.6. INDEPENDENT MODULES.

This License shall not apply to Independent Modules of any Initial Contributor, Subsequent Contributor, Distributor or any Recipient, and such Independent Modules may be licensed or made available under one or more separate license agreements.

3.7. LARGER WORKS.

Any Distributor or Recipient may create or contribute to a Larger Work by combining any of the Licensed Work with other code not governed by the terms of this License, and may distribute the Larger Work as one or more products. However, in any such case, Distributor or Recipient (as the case may be) must make sure that the requirements of this License are fulfilled for the Licensed Work portion of the Larger Work.

3.8. DESCRIPTION OF DISTRIBUTED MODIFICATIONS.

(a) Each Subsequent Contributor (including the Initial Contributor where the Initial Contributor also qualifies as a Subsequent Contributor) must cause each Subsequent Work created or contributed to by that Subsequent Contributor to contain a file documenting the changes, in accordance with the requirements of Part 1 of the Supplement File, that such Subsequent Contributor made in the creation or contribution to that Subsequent Work. If no Supplement File exists or no requirements are set out in Part 1 of the Supplement File, then there are no requirements for Subsequent Contributors to document changes that they make resulting in Subsequent Works.

(b) The Initial Contributor may at any time introduce requirements or add to or change earlier requirements (in each case, the "EARLIER DESCRIPTION REQUIREMENTS") for documenting changes resulting in Subsequent Works by revising Part 1 of each copy of the Supplement File distributed by the Initial Contributor with future copies of the Licensed Work so that Part 1 then contains new requirements (the "NEW DESCRIPTION REQUIREMENTS") for documenting such changes.

(c) Any Recipient receiving at any time any copy of an Initial Work or any Subsequent Work under a copy of this License (in each case, an "Earlier LICENSED COPY") having the Earlier Description Requirements may choose, with respect to each such Earlier Licensed Copy, to comply with the Earlier Description Requirements or the New Description Requirements. Where a Recipient chooses to comply with the New Description Requirements, that Recipient will, when thereafter distributing any copies of any such Earlier Licensed Copy, include a Supplement File having a section entitled Part 1 that contains a copy of the New Description Requirements.

(d) For greater certainty, the intent of Part 1 of the Supplement File is to provide a mechanism (if any) by which Subsequent Contributors must document changes that they make to the Licensed Work resulting in Subsequent Works. Further, a Recipient can be required to correct and change its documentation procedures to comply with Part 1 of the Supplement File, but cannot be penalised with damages. Part 1 of any Supplement File is only binding on each Recipient of any Licensed Work to the extent Part 1 sets out the requirements for documenting changes to the Initial Work or any Subsequent Work.

(e) An example of a set of requirements for documenting changes and contributions made by Subsequent Contributor is set out in Part 7 of Exhibit A of this License. Part 7 is a sample only and is not binding on Recipients, unless (subject to the earlier paragraphs of this Section 3.8) those are the requirements that the Initial Contributor includes in Part 1 of the Supplement File with the copies of the Initial Work distributed under this License.

3.9. USE OF DISTRIBUTOR NAME.

The name of a Distributor may not be used by any other Distributor to endorse or promote the Licensed Work or products derived from the Licensed Work, without prior written permission.

3.10. LIMITED RECOGNITION OF INITIAL CONTRIBUTOR.

(a) As a modest attribution to the Initial Contributor, in the hope that its promotional value may help justify the time, money and effort invested in writing the Initial Work, the Initial Contributor may include in Part 2 of the Supplement File a requirement that each time an executable program resulting from the Initial Work or any Subsequent Work, or a program dependent thereon, is launched or run, a prominent display of the Initial Contributor's attribution information must occur (the "ATTRIBUTION INFORMATION"). The Attribution Information must be included at the beginning of each Source Code file. For greater certainty, the Initial Contributor may specify in the Supplement File that the above attribution requirement only applies to an executable program resulting from the Initial Work or any Subsequent Work, but not a program dependent thereon. The intent is to provide for reasonably modest attribution, therefore the Initial Contributor may not require Recipients to display, at any time, more than the following Attribution Information: (a) a copyright notice including the name of the Initial Contributor; (b) a word or one phrase (not exceeding 10 words); (c) one digital image or graphic provided with the Initial Work; and (d) a URL (collectively, the "ATTRIBUTION LIMITS").

(b) If no Supplement File exists, or no Attribution Information is set out in Part 2 of the Supplement File, then there are no requirements for Recipients to display any Attribution Information of the Initial Contributor.

(c) Each Recipient acknowledges that all trademarks, service marks and/or trade names contained within Part 2 of the Supplement File distributed with the Licensed Work are the exclusive property of the Initial Contributor and may only be used with the permission of the Initial Contributor, or under circumstances otherwise permitted by law, or as expressly set out in this License.

3.11. For greater certainty, any description or attribution provisions contained within a Supplement File may only be used to specify the nature of the description or attribution requirements, as the case may be. Any provision in a Supplement File that otherwise purports to modify, vary, nullify or amend any right, obligation or representation contained herein shall be deemed void to that extent, and shall be of no force or effect.

4. COMMERCIAL USE AND INDEMNITY.

4.1. COMMERCIAL SERVICES.

A Recipient ("COMMERCIAL RECIPIENT") may choose to offer, and to charge a fee for, warranty, support, indemnity or liability obligations (collectively, "SERVICES") to one or more other Recipients or Distributors. However, such Commercial Recipient may do so only on that Commercial Recipient's own behalf, and not on behalf of any other Distributor or Recipient, and Commercial Recipient must make it clear than any such warranty, support, indemnity or liability obligation(s) is/are offered by Commercial Recipient alone. At no time may Commercial Recipient use any Services to deny any party the Licensed Work in Source Code or Executable form when so required under any of the other terms of this License. For greater certainty, this Section 4.1 does not diminish any of the other terms of this License, including without limitation the obligation of the Commercial Recipient as a Distributor, when distributing any of the Licensed Work in Source Code or Executable form, to make such distribution royalty-free (subject to the right to charge a fee of no more than the cost of physically performing Source Code or Executable distribution (as the case may be)).

4.2. INDEMNITY.

Commercial distributors of software may accept certain responsibilities with respect to end users, business partners and the like. While this License is intended to facilitate the commercial use of the Licensed Work, the Distributor who includes any of the Licensed Work in a commercial product offering should do so in a manner which does not create potential liability for other Distributors. The obligations in this section do not apply to any claims or Losses relating to any actual or alleged intellectual property infringement. In order to qualify, an Indemnified Party must: (a) promptly notify the Commercial Distributor in writing of such claim; and (b) allow the Commercial Distributor to control, and co-operate with the Commercial Distributor in, the defense and any related settlement negotiations. The Indemnified Party may participate in any such claim at its own expense.

5. VERSIONS OF THE LICENSE.

5.1. NEW VERSIONS.

The Initial Contributor may publish revised and/or new versions of the License from time to time. Each version will be given a distinguishing version number.

5.2. EFFECT OF NEW VERSIONS.

Once the Licensed Work or any portion thereof has been published by Initial Contributor under a particular version of the License, Recipient may choose to continue to use it under the terms of that version. Recipient understands and agrees that although Initial Contributor and each Subsequent Contributor grants the licenses to its Contributions set forth herein, no representation, warranty, guarantee or assurance is provided by any Initial Contributor, Subsequent Contributor, or Distributor that the Licensed Work does not infringe the patent or other intellectual property rights of any other entity. Initial Contributor, Subsequent Contributor, and each Distributor disclaims any liability to Recipient for claims brought by any other entity based on infringement of intellectual property rights or otherwise, in relation to the Licensed Works. As a condition to exercising the rights and licenses granted hereunder, each Recipient hereby assumes sole responsibility to secure any other intellectual property rights needed, if any. For example, without limiting the foregoing disclaimers, if a third party patent license is required to allow Recipient to distribute the Licensed Work, it is Recipient's responsibility to acquire that license before distributing the Licensed Work.

Nothing in this License shall be deemed to grant any rights to trademarks, copyrights, patents, trade secrets or any other intellectual property of Initial Contributor, Subsequent Contributor, or Distributor except as expressly stated herein.

3. DISTRIBUTION OBLIGATIONS.

3.1. DISTRIBUTION GENERALLY.

31. 일반적 배포

(a) A Subsequent Contributor shall make that Subsequent Contributor's Subsequent Work(s) available to the public via an Electronic Distribution Mechanism for a period of at least twelve (12) months. The aforesaid twelve (12) month period shall begin within a reasonable time after the creation of the Subsequent Work and no later than sixty (60) days after first distribution of that Subsequent Contributor's Subsequent Work.

In addition, the License Notice in Part 5 of Exhibit A must be included at the beginning of all Source Code files, and viewable to a user in any executable such that the License Notice is reasonably brought to the attention of any party using the Licensed Work.

For greater certainty, the above-noted requirements apply to any Licensed Work or portion thereof distributed to any third party in Executable form, whether such distribution is made alone, in combination with a Larger Work or Independent Modules, or in some other combination.

For greater clarification, this Section 3.3 applies to all distribution of the Licensed Work in any Source Code form. A Distributor may charge a fee for the physical act of transferring a copy, which charge shall be no more than the cost of physically performing source distribution.

Notwithstanding Sections 3.2, 3.3 and 3.4, Recipient may, internally within its own corporation or organization use the Licensed Work, including the Initial Work and Subsequent Works, and make Modifications for internal use within Recipient's own corporation or organization (collectively, "INTERNAL USE MODIFICATIONS"). The Recipient shall have no obligation to distribute, in either Source Code or Executable form, any such Internal Use Modifications made by Recipient in the course of such internal use, except where required below in this Section 3.5. All Internal Use Modifications distributed to any Person, whether or not a Third Party, shall be distributed pursuant to and be accompanied by the terms of this License. If the Recipient chooses to distribute any such Internal Use Modifications to any Third Party, then the Recipient shall be deemed a Subsequent Contributor, and any such Internal Use Modifications distributed to any Third Party shall be deemed a Subsequent Work originating from that Subsequent Contributor, and shall from the first such instance become part of the Licensed Work that must thereafter be distributed and made available to third parties in accordance with the terms of Sections 3.1 to 3.4 inclusive.

Part 1 of any Supplement File is only binding on each Recipient of any Licensed Work to the extent Part 1 sets out the requirements for documenting changes to the Initial Work or any Subsequent Work.

For greater certainty, the Initial Contributor may specify in the Supplement File that the above attribution requirement only applies to an executable program resulting from the Initial Work or any Subsequent Work, but not a program dependent thereon. The intent is to provide for reasonably modest attribution, therefore the Initial Contributor may not require Recipients to display, at any time, more than the following Attribution Information: (a) a copyright notice including the name of the Initial Contributor; (b) a word or one phrase (not exceeding 10 words); (c) one digital image or graphic provided with the Initial Work; and (d) a URL (collectively, the "ATTRIBUTION LIMITS").

However, such Commercial Recipient may do so only on that Commercial Recipient's own behalf, and not on behalf of any other Distributor or Recipient, and Commercial Recipient must make it clear than any such warranty, support, indemnity or liability obligation(s) is/are offered by Commercial Recipient alone. At no time may Commercial Recipient use any Services to deny any party the Licensed Work in Source Code or Executable form when so required under any of the other terms of this License. For greater certainty, this Section 4.1 does not diminish any of the other terms of this License, including without limitation the obligation of the Commercial Recipient as a Distributor, when distributing any of the Licensed Work in Source Code or Executable form, to make such distribution royalty-free (subject to the right to charge a fee of no more than the cost of physically performing Source Code or Executable distribution (as the case may be)).

The obligations in this section do not apply to any claims or Losses relating to any actual or alleged intellectual property infringement. In order to qualify, an Indemnified Party must: (a) promptly notify the Commercial Distributor in writing of such claim; and (b) allow the Commercial Distributor to control, and co-operate with the Commercial Distributor in, the defense and any related settlement negotiations. The Indemnified Party may participate in any such claim at its own expense.

THIS CLAUSE CONSTITUTES AN ESSENTIAL PART OF THIS LICENSE. NO USE OF ANY LICENSED WORK IS AUTHORIZED HEREUNDER EXCEPT UNDER THIS LICENSE INCLUDING WITHOUT LIMITATION THIS DISCLAIMER.

9. GOVERNING LAW AND LEGAL ACTION.

PART 6: PATENT LICENSING TERMS

The Initial Contributor hereby grants all Recipients a world-wide, royalty-free, non-exclusive license, subject to third party intellectual property claims, under patent claim(s) Licensable by the Initial Contributor that are or would be infringed by the making, using, selling, offering for sale, having made, importing, exporting, transfer or disposal of such Initial Work or any portion thereof. Effective upon distribution by a Subsequent Contributor to a Third Party of any Modifications made by that Subsequent Contributor, such Subsequent Contributor hereby grants all Recipients a world-wide, royalty-free, non-exclusive license, subject to third party intellectual property claims, under patent claim(s) Licensable by such Subsequent Contributor that are or would be infringed by the making, using, selling, offering for sale, having made, importing, exporting, transfer or disposal of any such Modifications made by that Subsequent Contributor alone and/or in combination with its Subsequent Work (or portions of such combination) to make, use, sell, offer for sale, have made, import, export, transfer and otherwise dispose of:

(1) Modifications made by that Subsequent Contributor (or portions thereof); and

(2) the combination of Modifications made by that Subsequent Contributor with its Subsequent Work (or portions of such combination);

(collectively and in each case, the "SUBSEQUENT CONTRIBUTOR VERSION").

Notwithstanding the foregoing, no patent license is granted under this Paragraph C by such Subsequent Contributor: (1) for any code that such Subsequent Contributor deletes from the Subsequent Contributor Version (or any portion thereof) distributed by the Subsequent Contributor prior to such distribution; (2) for any Modifications made to the Subsequent Contributor Version (or any portion thereof) by any other Person; or (3) separate from the Subsequent Contributor Version (or portions thereof) distributed or made available by the Subsequent Contributor.

D. E. If Recipient institutes patent litigation against another Recipient (a "USER") with respect to a patent applicable to a computer program or software (including a cross-claim or counterclaim in a lawsuit, and whether or not any of the patent claims are directed to a system, method, process, apparatus, device, product, article of manufacture or any other form of patent claim), then any patent or copyright license granted by that User to such Recipient under this License or any other copy of this License shall terminate. The termination shall be effective ninety (90) days after notice of termination from User to Recipient, unless the Recipient withdraws the patent litigation claim before the end of the ninety (90) day period. To be effective, any such notice of license termination must include a specific list of applicable patents and/or a copy of the copyrighted work of User that User alleges will be infringed by Recipient upon License termination. License termination is only effective with respect to patents and/or copyrights for which proper notice has been given.
